1. Introduction and Acceptance

These Terms of Service (Terms) govern your use of the QR Asset Link service and website (the Service), operated by QR Asset Link (we, our, us).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

These Terms apply to all users of the Service, including individual users, businesses and organisations. If you are accepting these Terms on behalf of an entity, you represent that you have the authority to bind that entity.

2. Service Description

QR Asset Link provides managed QR code landing pages and short links for engraved asset tags, equipment labels and compliance plates. Our Service includes:

Creation and hosting of managed QR asset landing pages at various service tiers
Short-link management and redirection
QR code generation for use on engraved tags and labels
Scan analytics and reporting
Asset information management through a dashboard

The Service is provided on a subscription basis. Specific features and availability depend on the service tier you select.

3. Account Registration and Responsibilities

To use the Service, you must register for an account. You are responsible for:

Providing accurate and complete information during registration
Maintaining the confidentiality of your account credentials
All activities that occur under your account
Ensuring the accuracy of the content you publish on your asset pages

You must not use the Service for any unlawful purpose or in violation of any applicable laws or regulations.

4. Fees, Invoicing and Renewals

Our pricing is published on our website and is subject to change with reasonable notice.

The initial setup fee includes the first year of page hosting. After the first year, page hosting renews annually at the then-current renewal rate. You will be notified in advance of any renewal invoice.

Tag pricing is quoted separately from page hosting. The cost of engraved tags, labels or plates is a one-time charge and does not include ongoing hosting.

5. Payment Terms

Invoices are issued in Australian dollars (AUD) and are due within the payment terms specified on the invoice, typically 14 days from the date of issue.

Payments must be made by the methods specified on your invoice. Late payments may result in service suspension.

All fees are exclusive of any applicable goods and services tax (GST) or other taxes, which will be added to your invoice as required by law.

6. Service Suspension and Grace Periods

If a renewal invoice is not paid by the due date, a grace period of 14 days will apply. During the grace period, your asset pages and short links will remain active and accessible.

If payment is not received within the grace period, your service may be suspended. During suspension, your asset pages and short links may become inaccessible. We will notify you before any suspension takes effect.

We may also suspend the Service immediately if we reasonably believe the Service is being used in violation of these Terms or applicable law.

7. Data Retention and Reinstatement

Following suspension, we will retain your account data for a reasonable period (typically 90 days) to allow for reinstatement. During this period, you may reinstate your service by paying any outstanding amounts.

After the data retention period expires, we may permanently delete or de-identify your account data. We recommend that you maintain your own backups of any critical information.

Reinstatement after the data retention period is not guaranteed and may incur additional setup fees.

8. Limitation of Liability

To the maximum extent permitted by law, QR Asset Link excludes all liability for any loss or damage arising from your use of the Service, including but not limited to direct, indirect, incidental or consequential damages.

Our Service is designed using practical security controls — no online service can guarantee zero risk. We are not liable for any unauthorised access to or loss of your data, except where caused by our negligence or breach of these Terms.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable Australian consumer law.

9. No Guarantee of Compliance

QR Asset Link hosts compliance documents on your behalf, including certificates, manuals and inspection records. Hosting these documents on an asset page does not, by itself, make the equipment or asset compliant with any regulatory or industry standard.

You are solely responsible for ensuring that your assets comply with all applicable laws, regulations and standards, and for maintaining accurate and current compliance records.

We make no representations or warranties regarding the regulatory compliance of your assets by virtue of using our Service.

10. Intellectual Property

You retain ownership of any content you upload to your asset pages, including text, images, documents and other materials. By uploading content, you grant QR Asset Link a non-exclusive, royalty-free licence to host, store and display that content for the purpose of providing the Service.

QR Asset Link retains ownership of the Service platform, software, branding and any proprietary technology used to deliver the Service.

You may not reproduce, modify or distribute any part of the Service without our prior written consent.

11. Termination

Either party may terminate these Terms upon 30 days' written notice. We may also terminate these Terms immediately if you breach a material term and fail to remedy the breach within 14 days of notice.

Upon termination, your account will be closed and your asset pages and short links will be deactivated. We will provide a reasonable period to export your data before it is permanently deleted.

Termination does not affect any rights or obligations that have accrued prior to termination.

12. Governing Law

These Terms are governed by the laws of the Northern Territory, Australia. Any disputes arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts of the Northern Territory.
